Software Agreement TERMS OF SERVICE AGREEMENT This Agreement governs the use of Masslogics' website and related forms, processes, tools and other software available by subscription at www.Masslogics.com. By subscribing to Masslogics' services the user ("User") agrees to be bound by the terms and conditions of this Agreement. TERMS AND CONDITIONS 1.) TERM: This is a month-to-month subscription contingent upon User timely paying the subscription fee charged by Masslogics. 2.) FEES: User shall pay Masslogics according to the subscription rates posted on Masslogics' website or as set forth in the purchase confirmation email as modified from time to time and will provide at least thirty (30) days advance notice of any increase. All fees shall be paid in advance by the 15th of the month proceeding the month of use. All Users shall pay by credit card and authorize monthly automatic payments to Masslogics. Should User's credit card not accept payment, Masslogics will notify User of such non-acceptance and User shall have 48 hours to provide an acceptable replacement credit card. If payment is not completed within 48 hours, Masslogics reserves the right to terminate User's access to Masslogics. User shall be charged a turn-on fee as stated on its website, payable prior to reestablishing access to Masslogics. User shall pay Masslogics an early termination fee if User terminates its subscription thirty one (31) or more days after initiation of the subscription and User has not yet paid the Setup Fees as set forth in Masslogics fee schedule at the time of termination. The early termination fee shall be the difference between the Setup Fees and the subscription fees actually paid. Masslogics may change the pricing schedules in its sole discretion upon posting on its website. 3.) LIMITED LICENSE: Subject to the terms and conditions herein, Masslogics grants to User a non-exclusive, non-transferable right to access and use the online logistics management system available at www.masslogics.com. 4.) ACCESS: User may access Masslogics and use it in its business as User deems appropriate. User may not copy, duplicate reverse engineer or replicate Masslogics in any manner or through any media. User also agrees not to loan, rent, lease or transfer its rights hereunder without the prior written permission of Masslogics. 5.) PROVISION OF SERVICES: Masslogics will make the service available online 24 hours/day, seven days per week, subject to the following qualifications: i) Masslogics retains the right to take the service off-line to perform maintenance and shall take reasonable steps to minimize any such disruption and to restore service as soon as possible; and ii) User acknowledges that due to the nature of the Internet the service will be unavailable at times, and agrees that Masslogics is not responsible for interruptions to the service caused by third parties. 6.) DATA BACKUPS: User acknowledges that it has the ability to download data entered into the system at any time, and the ability to print reports containing such data, and that although Masslogics provides data backup services, backup and protection of User's data remains User's responsibility. 7.) CONDITIONS: User shall not use Masslogics' service in any manner that could damage, disable, overburden or impair such service or interfere with any other party's use of such service. User shall not attempt to gain unauthorized access to any service, account, computer systems or networks associated with Masslogics or any other clients of Masslogics. 8.) MODIFICATION: This Agreement may not be modified or amended except by an instrument duly executed by the parties hereto, and no waiver or compliance with any provision or condition hereof and no consent provided for herein shall be effective unless evidenced by a writing signed by the party sought to be charged with such waiver or consent. 9.) DISCLAIMER OF WARRANTIES: Masslogics does NOT warrant the functions of Masslogics will meet User's requirements or that the service will be uninterrupted or error free. The service is provided on an AS IS and AS AVAILABLE basis. User assumes responsibility for selecting Masslogics to achieve its intended results and for the use and results obtained from Masslogics. Masslogics DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OF RELIABILITY, ACCURACY, OF RESULTS, OF LACK OF VIRUSES, AND OF LACK OF NEGLIGENCE. Except for express warranties stated in this contract, if any, the subscription service provided under this Agreement is provided with all faults, and the entire risk as to satisfactory quality, performance, accuracy, and effort is with User. 10.) EXCLUSION AND LIMITATION OF DAMAGES: IN NO EVENT SHALL Masslogics BE LIABLE FOR ANY DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRRUPTION, LOSS OF PROFITS OR CONFIDENTIAL INFORMATION, OR OTHER PECUNIARY LOSS) ARISING OUT OF USE OR INABILITY TO USE THE SERVICE SUBSCRIBED TO UNDER THIS AGREEMENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING THE ABOVE, IN NO EVENT WILL ANY DAMAGES EXCEED THE TOTAL SUBSCRIPTION FEES ACTUALLY PAID BY USER TO Masslogics IN THE TWELVE MONTHS PRECEDING THE DATE ON WHICH ANY SUCH CLAIM IS ALLEGED TO ARISE. 11.) ENTIRE AGREEMENT: This Agreement constitutes the entire agreement between the parties hereto with respect to the transactions contemplated by this Agreement, and supersedes all prior memoranda, correspondence, conversations and negotiations. If any provisions of this Agreement are held to be void, invalid, unenforceable or illegal, the other provisions shall continue in full force and effect. 12.) ASSIGNMENT: This Agreement may not be assigned by User without the express written consent in advance of Masslogics. 13.) HEADINGS: The paragraph headings in this Agreement are inserted for convenience by reference only, and shall not in any way affect the meaning or interpretation of this Agreement or any section thereof. 14.) ATTORNEY'S FEES: If User violates its obligations under this Agreement or fails to pay when due for the services provided hereunder, Masslogics may charge interest on all overdue amounts at 1.5% per month and User shall be responsible for all costs incurred in the enforcement of this Agreement, including court costs and reasonable attorney's fees. 15.) APPLICABLE LAW: This Agreement shall be governed by, and construed in accordance with, the laws of the Commonwealth of Virginia. The parties consent to the exclusive jurisdiction of the Circuit Court of Hanover County, Virginia and agree that any litigation arising from or related to the services provided under this Agreement will only be brought in such court.
